End User License Agreement (EULA)

1. Introduction
This End User License Agreement (“EULA”) is a legal agreement between you (“User” or “You”) and Clover: Advanced Virtual Labs for LMS (“Clover,” “we,” “our,” or “us”). This EULA governs your access to and use of Clover’s software, services, and related documentation (collectively, the “Software”). By using or accessing the Software, you agree to the terms of this EULA.

2. License Grant
Clover grants you a limited, non-exclusive, non-transferable, revocable license to use the Software strictly in accordance with this EULA and subject to a valid subscription through Microsoft Marketplace.

3. Permitted Uses and Restrictions
You may use the Software solely for its intended purpose as provided by Clover. You may not:

  • Copy, modify, distribute, or create derivative works of the Software.
  • Reverse-engineer, decompile, or attempt to extract the source code.
  • Rent, lease, sell, sublicense, or transfer your rights under this EULA.
  • Use the Software in any unlawful or unauthorized manner.

4. Ownership & Intellectual Property
All intellectual property rights in the Software remain with Clover or its licensors. This EULA does not grant you any ownership rights to the Software, except for the limited license provided herein.

5. Subscription & Payment

  • The Software is offered on a per-user, per-month subscription basis through Microsoft Marketplace.
  • Payment, renewal, and cancellation terms are governed by Microsoft’s subscription policies.
  • Non-payment may result in termination of access to the Software.

6. Data Privacy & Compliance
By using the Software, you acknowledge that Clover processes personal data in accordance with its Privacy Policy and applicable laws. For users in the EU and California, please refer to our GDPR Compliance and CCPA Compliance pages.

7. Termination
Clover reserves the right to terminate your access to the Software if you violate this EULA. Upon termination:

  • Your license to use the Software is immediately revoked.
  • You must cease all use of the Software and delete any related materials.
  • No refunds will be provided unless required by law or Microsoft Marketplace policies.

8. Warranty Disclaimer
The Software is provided on an “as is” and “as available” basis. Clover disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability
To the maximum extent permitted by law:

  • Clover shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Software.
  • Clover’s total liability shall not exceed the amount paid by you for the Software in the last six months.
  • Clover has no responsibility or control over the customer’s DaaS infrastructure and is not liable for any security incidents or failures in third-party services, including Microsoft Marketplace.

10. Indemnification
You agree to indemnify and hold Clover harmless from any claims, damages, or expenses resulting from your misuse of the Software or violation of this EULA.

11. Governing Law & Dispute Resolution
This EULA shall be governed by the laws of jurisdiction of Paris. Any disputes shall be resolved through binding arbitration or the courts of Paris Judicial Court.

12. Microsoft Marketplace Compliance
Since Clover is provided via Microsoft Marketplace, all purchases and subscriptions are subject to Microsoft’s terms and conditions. For further details, visit Microsoft’s SaaS Fulfillment API FAQ.

13. Changes to This EULA
Clover may modify this EULA at any time. Continued use of the Software after changes are posted constitutes acceptance of the revised EULA.
