By using our Services, you acknowledge that you have read, understood, and agreed to these Terms. If you do not agree with these Terms, you must discontinue the use of our Services immediately.
3. Eligibility
To use our Services, you must be at least 18 years old or the legal age of majority in your jurisdiction. By using the Services, you represent and warrant that you meet these requirements.
4. User Accounts

7. Fees and Payments
- Clover is provided on a subscription basis per user per month.
- Billing, subscription renewals, and cancellations are managed through the Microsoft Marketplace.
- Customers should refer to Microsoft’s SaaS Fulfillment API FAQ (https://learn.microsoft.com/en-us/partner-center/marketplace-offers/saas-fulfillment-apis-faq) for details on subscription handling and billing policies.
- Any disputes regarding payments must be addressed through Microsoft Marketplace support.
8. Termination
We reserve the right to suspend or terminate your access to our Services at our discretion, with or without notice, if you violate these Terms or engage in activities that may harm our platform or other users.
9. Disclaimer of Warranties
Our Services are provided on an “as is” and “as available” basis. We do not guarantee that the Services will be uninterrupted, error-free, or secure. To the fullest extent permitted by law, we disclaim all warranties, express or implied.
10. Limitation of Liability
- Clover does not control or manage the customer’s DaaS infrastructure. Any performance issues, security breaches, or operational failures within the customer’s environment are solely the customer’s responsibility.
- Clover does not directly handle subscription activations, renewals, or cancellations, which are managed by Microsoft via their SaaS fulfillment APIs.
- To the extent permitted by law, Clover shall not be liable for any indirect, incidental, or consequential damages arising from the use of our Services. Our total liability shall not exceed the amount paid by you for accessing our Services in the past six months.
11. Indemnification
You agree to indemnify and hold Clover, its affiliates, officers, and employees harmless from any claims, damages, or expenses arising from your violation of these Terms or misuse of the Services.
12. Governing Law & Dispute Resolution
